Terms of sale and delivery

GENERAL TERMS OF SALE

ROCO.AS uses the General Terms and Conditions of Delivery from NL 92, (price list included), published by the Main Organization of Danish Industry with the following changes and supplements.


1. Prices

1.1 All offered and agreed prices are valid excl. packaging and VAT.
Unless otherwise agreed, delivery takes place from warehouse Vodskov.

1.2 For orders amounting to less than DKK 500, -, a surcharge of DKK 75, - will be charged.

1.3 Unless otherwise stated, the seller is entitled to compensation for cost increases due to taxes, government taxes or price changes after the offer date. If the agreed delivery time due to an agreement to this effect or according to NL 92 point 12 is extended by more than 6 months, the seller is not bound by the agreed price, but has the right to demand a reasonable price, which in that case is determined in relation to the general applicable prices on the day of delivery.

2. Delivery and transport

2.1 The delivery date for stock items specified by the seller refers to the date the item leaves the seller's stock.

3 Framework orders

3.1 If the buyer does not purchase the ordered number of items before the agreed time, the seller has the right to immediately deliver the remaining number of items or to cancel the purchase. Upon cancellation, damages of at least 15% of the agreed price will be charged for the goods to which the cancellation applies.

3.2 Frame orders for custom-made goods never cease to apply, but must be delivered by the seller in full within 3 months after the expiry of the frame order.

4. Invoicing / payment

4.1 Ongoing rentals are invoiced monthly.

4.2 Invoice is due for payment 8 days after the invoice date, unless otherwise agreed.

4.3 From the due date, a default interest of 2.0% per. month.

5. Return

5.1 Only in the event of incorrect handling or manufacturing defects on the item (ie when the seller is to blame for the defect) can a return be approved at no extra cost to the buyer. In the event of a manufacturing defect, a detailed description of the defect must be attached.

5.2 For non-stock items, custom-made items or discontinued items, credit will not be accepted.

5.3 Returns of stock items must be approved by the seller, and the order or invoice number must be stated. An approved return is given a return number, which must always be used for correspondence. The form "return of goods" must be attached to the item. This form is available from the seller's service department. Returned goods not provided with the above will be returned with unpaid freight to the sender. Returns of goods whose value is less than DKK 250 are not approved.

5.4 Return of stock items is credited to the buyer for the net price of the invoice minus a return fee to cover unpacking, inspection and adjustment work as well as administration. The return fee will generally never amount to less than 20% of the item's invoiced net price. Approved returns must always be returned in the original packaging.

6. Liability for defects

6.1 To the original buyer, the seller guarantees that the delivered makes in normal use are in all respects flawless in terms of materials and workmanship. With the exception of points 23, 25, 28 of NL 92.

6.2 For replaced or repaired parts are guaranteed on the same terms and under the same conditions as apply to the original product for a period of 3 months. For the other parts of the product, the liability period mentioned in NL 92 point 22 is extended only by the time when the product could not be used as a result of defects as mentioned in NL 92 point 21.

6.3 The buyer shall bear the costs and bear the risk in connection with the transport of defective parts to the seller, while the seller shall bear the costs and bear the risk in connection with the transport of exchanged or repaired goods to the destination specified in the agreement or - if not specified - to the place of delivery. Once the seller has received a written complaint in accordance with NL 92 clause 24, he must remedy the defect as soon as the circumstances require. If the seller performs the above repairs at the buyer, the buyer must bear travel expenses, diets, travel time allowance as well as hotel stays for the seller's staff.

6.4 The seller's responsibility to fulfill its obligations with regard to remedying defects only includes the products / equipment supplied by the seller.

7.  Disputes

7.1 Any disputes must be decided by the court in Aalborg
